1. Agreement to Terms
1.1 These Terms of Use constitute a legally binding agreement between clients, users, visitors or any other person accessing the Platform (collectively "User", "you" or "your") and GemForge Ltd, a company registered in the Seychelles (Registration No. 248166), with a registered office at House of Francis, Room 303, Ile Du Port, Mahe, Seychelles ("GemForge", "we", "us" or "our"), concerning your access to and use of GemForge Labs (the "Platform"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.
1.2 Registration and use of the Platform is restricted to individuals aged 18 or older, or those with valid parental or guardian consent who are fully able and competent to enter into these Terms. GemForge accepts no responsibility for use by individuals who do not meet these criteria.
1.3 GemForge reserves the right to modify these Terms at any time and for any reason. We may alert you to changes by updating the "Last updated" date of these Terms. It is your responsibility to review these Terms periodically. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance of those changes.
1.4 The information and services provided on the Platform are not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law or regulation. Users who access the Platform from outside the Seychelles do so at their own discretion and are solely responsible for compliance with applicable local laws.
2. Intellectual Property Rights
2.1 All content on the Platform, including but not limited to text, graphics, images, source code, software, data, logos, trademarks, product names, and service descriptions (collectively the "Content"), is the exclusive intellectual property of GemForge Ltd or its licensors and is protected by applicable national and international intellectual property law.
2.2 All Content is made available strictly for personal, non-commercial use. Except as expressly permitted under these Terms, no part of the Platform or its Content may be copied, reproduced, republished, distributed, sold, transmitted, translated, modified, or otherwise exploited for any commercial purpose without the prior written consent of GemForge.
2.3 Nothing on the Platform should be construed as granting, by implication or otherwise, any licence or right to use GemForge's intellectual property without prior written consent. You are specifically prohibited from: (i) using Content to create products or services that compete with GemForge Labs; (ii) disclosing any information from the Platform to third parties where such information is confidential to GemForge; and (iii) employing any automated or programmatic method to extract data or content from the Platform, including scraping, web harvesting, or web data extraction.
2.4 Third-party trademarks, logos, and intellectual property appearing on the Platform remain the property of their respective owners.

3. User-Submitted Content
3.1 Users may submit their own technical content to the Platform, subject to GemForge's prior written approval.
4. User Representations and Obligations
4.1 By using the Platform, you represent and warrant that: (i) all information you submit will be true, accurate, current and complete; (ii) you will not access the Platform through automated or non-human means, whether through a bot, script or otherwise, except as expressly permitted; and (iii) you will not use the Platform for any illegal or unauthorised purpose.
4.2 If you provide any information that is untrue, inaccurate, not current or incomplete, GemForge reserves the right to suspend or terminate your account and refuse any current or future use of the Platform.
4.3 Each User must create an individual account to access the Platform's services. You agree to:
- Register only one account and be its sole user, not sharing it with others.
- Maintain a strong password, keep it confidential, and report any suspected misuse promptly.
- Provide and maintain accurate account and profile information.
- Notify GemForge immediately if you become aware of any unauthorised access to your account.
4.4 Users are solely responsible for all activity carried out under their account.
5. Prohibited Activities
5.1 The Platform may not be used in connection with any commercial activity except those specifically endorsed or approved in writing by GemForge.
5.2 As a User of the Platform, you agree not to:
- Use the Platform for any revenue-generating or commercial purpose for which it is not designed or intended.
- Systematically retrieve data or content from the Platform to create or compile a database, directory, or collection without written permission from GemForge.
- Make any unauthorised use of the Platform, including collecting usernames or email addresses of other Users for unsolicited communications.
- Use the Platform for advertising or offering to sell goods or services.
- Circumvent, disable, or interfere with any security-related features of the Platform.
- Engage in unauthorised framing of or linking to the Platform.
- Trick, defraud, or mislead other Users or GemForge.
- Make improper use of support services or submit false reports of abuse or misconduct.
- Engage in any automated use of the Platform, including scripts, data mining, robots, or similar tools.
- Interfere with, disrupt, or create an undue burden on the Platform or its connected networks or services.
- Attempt to impersonate another user or person.
- Use information obtained from the Platform to harass, abuse, or harm any person.
- Use the Platform as part of any effort to compete with GemForge.
- Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of any software comprising the Platform.
- Attempt to bypass any access restrictions or security measures implemented on the Platform.
- Harass, intimidate, or threaten GemForge employees or agents.
- Delete or alter any copyright or proprietary rights notices from any Content.
- Upload or transmit viruses, Trojan horses, or any other malicious code or material.
- Share solutions, flags, or write-ups for active labs, or exams.
- Use the Platform for any offensive, immoral, unethical, or unlawful purpose.
- Use the Platform in a manner inconsistent with any applicable laws or regulations.
6. Use Licence
6.1 Subject always to these Terms, GemForge grants you a personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform strictly in accordance with these Terms.
6.2 GemForge reserves all rights not expressly granted to you in and to the Platform and its Content.
7. Paid Subscriptions
7.1 Users may purchase a paid subscription to access additional services and features. Details of subscription tiers and associated benefits are published on the Platform.
7.2 GemForge offers monthly and annual subscription options. All payments are made in advance. By subscribing, you authorise GemForge to charge your chosen payment method on a recurring basis at the start of each subscription period.
7.3 You are responsible for ensuring your order is complete and accurate, and for keeping your payment information current. Failure to pay the applicable subscription fee will result in termination of your access to paid services.
7.4 To cancel your subscription and prevent future charges, you must do so via your account settings before the next renewal date. You will retain access to paid services until the end of the current subscription period.
7.5 GemForge reserves the right to change subscription pricing at any time. Any pricing changes will be communicated to you in advance via email and will not affect your current subscription period.
7.6 Refunds for subscriptions are handled in accordance with our Refund Policy.
7.7 GemForge reserves the right to suspend or terminate access immediately upon detection of fraudulent payment and may refer such cases to the relevant authorities.
7.8 Unless otherwise specified in a promotion or separate service agreement, lab hour allocations are subject to a maximum accumulation limit of 300 hours per User account at any one time. GemForge reserves the right to suspend the accrual of further lab hours where a User's accumulated balance reaches this limit. Hours will resume accruing once the balance falls below the maximum threshold through use.
8. Copyright Infringement
8.1 GemForge respects the intellectual property rights of others. If you believe that any material available on or through the Platform infringes a copyright you own or control, please notify us immediately at [email protected]. Please note that under applicable law you may be held liable for damages if you make material misrepresentations in any such notification. If you are uncertain whether material infringes your copyright, you should seek independent legal advice before submitting a notification.
9. Third-Party Links
9.1 The Platform may contain links to third-party websites or content not operated or controlled by GemForge. Such links are provided for reference only and do not constitute an endorsement or verification of those websites or their content. GemForge has no control over third-party websites and accepts no responsibility for their content, availability, accuracy, or data protection practices. Users access such links entirely at their own risk.
10. User Data
10.1 GemForge will maintain certain data that you transmit to the Platform for the purposes of managing the Platform and your use of it, in accordance with our Privacy Notice. You are solely responsible for all data you transmit or that relates to any activity undertaken using the Platform.
10.2 GemForge shall have no liability to you for any loss or corruption of data transmitted to or stored on the Platform, and you hereby waive any right of action against GemForge arising from any such loss or corruption.
11. Privacy
11.1 GemForge is the data controller of your personal data. GemForge collects and processes personal data only where you have voluntarily provided it, for example when creating an account or purchasing a subscription. Personal data will not be sold or disclosed to unconnected third parties without your consent, except where required by law or by competent authorities.
11.2 GemForge may use cookies and similar technologies to collect usage information. You may disable cookies through your browser settings, though this may affect Platform functionality.
11.3 Payment transactions are processed by third-party payment providers. GemForge necessarily shares relevant payment information with these providers for this purpose.

11.5 GemForge reserves the right to update its data protection practices in line with applicable law. Users are advised to review this section periodically.
12. Disclaimer of Warranty
12.1 The Platform and all Content are provided on an "as is" and "as available" basis. GemForge expressly disclaims all warranties of any kind, whether express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, operability, accuracy of data, or system integration.
12.2 GemForge does not guarantee that the Platform will operate without interruption or error. Users access the Platform's lab environments and network infrastructure entirely at their own risk.
12.3 Nothing provided through the Platform constitutes advice, encouragement, or instruction to engage in any unlawful activity. All content and services are provided for educational purposes, specifically to develop skills in cybersecurity and penetration testing. Users are solely responsible for their own actions.
13. Limitation of Liability
13.1 To the maximum extent permitted by applicable law, GemForge and its officers, employees, directors, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or loss of opportunity, arising out of or related to your use of or inability to use the Platform, regardless of whether such damages are based on contract, tort, statute, or otherwise.
13.2 To the maximum extent permitted by applicable law, GemForge's total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the greater of: (a) the total fees paid by you to GemForge in the twelve months preceding the claim, or (b) GBP 100.
13.3 Nothing in these Terms excludes or limits GemForge's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
14. Modifications and Interruptions
14.1 GemForge reserves the right to change, modify, suspend, or discontinue all or any part of the Platform at any time and for any reason without notice. GemForge shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
14.2 GemForge cannot guarantee that the Platform will be available at all times. Maintenance, hardware or software issues, or other events may result in interruptions, delays, or errors. GemForge accepts no liability for any loss or inconvenience caused by your inability to access the Platform during any period of downtime.
15. Term and Termination
15.1 These Terms shall remain in full force and effect while you use the Platform.
15.2 GemForge reserves the right, at its sole discretion and without notice or liability, to restrict, suspend, or terminate your account and access to the Platform at any time, including for breach of any provision of these Terms, violation of any applicable law, or misuse of the Platform.
15.3 You may terminate your account at any time by deleting it. Upon termination you will no longer have the right to access or use the Platform. Termination does not affect any rights or obligations accrued prior to the termination date.
15.4 The following sections shall survive termination of these Terms: sections 2, 4, 8, 9, 10, 11, 12, 13, 17, 18, and 19.
16. Force Majeure
16.1 GemForge shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond GemForge's reasonable control, including but not limited to: (i) acts of God; (ii) war, outbreak of hostilities, riot, civil disturbance, or acts of terrorism; (iii) acts of any government or authority, including the refusal or revocation of any licence or consent; (iv) fire, explosion, or severe weather; (v) power failure, failure of telecommunications lines, or breakdown of plant, machinery, or systems; (vi) pandemic or epidemic; (vii) theft, malicious damage, strike, lock-out, or industrial action; or (viii) any other event outside GemForge's reasonable control.
17. Indemnity
17.1 You agree to defend, indemnify, and hold harmless GemForge Ltd and its officers, directors, employees, agents, licensors, and suppliers from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, arising out of or relating to: (i) your use of or access to the Platform; (ii) your breach of these Terms; (iii) any breach of your representations or warranties under these Terms; (iv) your violation of the rights of any third party, including intellectual property rights; or (v) any harmful act directed toward another User of the Platform.
18. Electronic Communications
18.1 By using the Platform, sending emails to GemForge, or completing online forms, you consent to receive communications from GemForge electronically. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
18.2 You agree to keep your contact information current so that GemForge can provide you with relevant notices and updates.
19. General
19.1 You may not transfer or assign your rights or obligations under these Terms to any third party without GemForge's prior written consent. GemForge may transfer its rights and obligations under these Terms to another entity without your consent, provided that your rights are not adversely affected as a result.
19.2 If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19.3 No failure or delay by GemForge in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. Any waiver must be explicitly set out in writing and signed by GemForge.
19.4 These Terms, together with any documents referenced herein, constitute the entire agreement between you and GemForge with respect to your use of the Platform and supersede all prior agreements, whether written or oral, relating to the same subject matter.
20. Governing Law and Jurisdiction
20.1 GemForge Labs is an internationally operated platform. These Terms and your use of the Platform are governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of law principles.
20.2 Should any dispute arise between GemForge and a User in connection with these Terms, the parties shall first attempt to resolve the matter by amicable negotiation. Should such negotiations fail to achieve resolution within thirty business days, the dispute shall be referred to the courts of the Republic of Seychelles, which shall have exclusive jurisdiction.
20.3 If mandatory statutory consumer protection regulations in your country of residence contain provisions more beneficial to you than those set out in these Terms, such provisions shall apply irrespective of the choice of Seychelles law.
